The terms we work to
These terms apply to all advisory sessions, retainers, sprints and fractional work. They're written in plain English, so you know exactly where you stand. Last updated on the 5th of November, 2026.
1. About these terms
These terms apply to services provided by Lewis Sayes, trading as DuckTalk Marketing ("DuckTalk", "we" or "us"), to business clients ("you"). By booking or paying for a service, you agree to these terms. If we agree something different in writing for a specific engagement, such as in a proposal or by email, that takes priority over these terms.
2. What we'll deliver
Before any work starts, we'll agree in writing what's included and, for advisory sessions and sprints, the deliverable you'll receive. Email is fine for this. Anything outside that agreed scope is a change, and we'll agree any extra cost with you before doing it.
3. Fees and payment
- Prices are those shown on our website, or in our proposal, at the time you book.
- DuckTalk is not VAT registered, so no VAT is added to our prices.
- Focus and Decode sessions are paid in full when you book.
- Go-to-market sprints are paid 50% when you book and 50% on delivery of the final strategy.
- Advisory retainers and fractional work are invoiced on the first working day of each month, payable within 7 days.
- If payment is late, we may pause work until it's received, and we reserve the right to claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Rescheduling and cancellations
You can reschedule a session free of charge with at least 48 hours' notice. Sessions moved or cancelled with less notice may be charged in full. If we ever need to move a session, we'll offer you a new time as soon as possible, or a full refund for that session if the new time doesn't work for you.
5. Retainers and fractional work
- Advisory retainers run month to month, and either of us can end them with 30 days' notice.
- Fractional work has a three-month minimum term. After that, it runs month to month, and either of us can end it with 30 days' notice.
- Unused retainer hours roll over into the following month only.
- Unused fractional days roll over if the delay was on our side. Days left unused at your request roll over into the following month only.
- If you move from a one-off advisory session or sprint to fractional work within 30 days, the fee you paid is credited against your first month.
6. What we need from you
To do our best work, we need accurate information, access to the right people and timely feedback. If delays on your side affect the timeline, we'll agree revised dates with you.
7. Who owns the work
Once you've paid in full, you own the deliverables we create specifically for you. We keep ownership of our own general knowledge, methods, frameworks and templates, and we can keep using them with other clients. We'll only name you as a client or publish a case study about our work together with your permission.
8. Confidentiality
We'll keep your confidential information private and only use it to deliver our services to you. We ask the same of you for any confidential information we share.
9. Results
We'll always work with reasonable skill and care and give honest advice. However, marketing and sales results depend on many things outside our control, so we can't guarantee specific outcomes, such as a set number of leads, sales or funding.
10. Liability
Our total liability to you for any engagement is limited to the fees you've paid us for it in the 12 months before the claim. We aren't liable for indirect or consequential losses, or for loss of profit, revenue or business opportunity. Nothing in these terms limits liability that can't legally be limited, such as for fraud, or for death or personal injury caused by negligence.
11. Ending an engagement early
Either of us can end an engagement straight away if the other seriously breaks these terms and doesn't put it right within 14 days of being asked to. Fees for work already done remain payable.
12. Your information
We handle personal information in line with our privacy policy.
13. Using this website
The content on this website is general information, not tailored advice for your business. We may update our services and prices from time to time, and the prices that apply are those shown when you book. We aren't responsible for the content of other websites we link to.
14. The law that applies
These terms are governed by the law of England and Wales, and any disputes will be handled by the courts of England and Wales.
